These Terms of Service govern the use of the website at chazhatz.lol and the professional services provided by CHAZHATZ, LLC, a computer integrated systems design practice working from 190 W 100 S, Newcastle - 84756-7702, United States (US). By browsing the site, sending an enquiry or engaging the company for a survey, a project or a support season, a person or organisation agrees to the terms set out below, together with any written quotation or statement of work agreed for a particular engagement.
The company provides design, integration and technical support for retail machines and hospitality venues. Its work touches coin operated cabinets, media and playlist systems, payment kiosks, lighting controllers, cabinet refits and the long tail of support that follows a handover. These terms are written in plain language and are intended to be read alongside the quotation and the acceptance test list for a specific job. Where a signed statement of work conflicts with these terms, the signed statement prevails for that engagement.
1. The agreement
These terms form a binding agreement between CHAZHATZ, LLC and the person or organisation that uses this website or engages the company for work. The agreement takes effect when the company confirms an enquiry in writing, when a quotation is accepted, or when work begins, whichever happens first.
If a person accepts these terms on behalf of a company, venue or other organisation, that person confirms that they have authority to bind that organisation. If they do not have that authority, they should not accept the terms and should pass them to someone who does.
No other terms are incorporated into the agreement unless the company agrees to them in writing. Purchase order conditions, supplier portals and standard procurement terms sent by a client do not override these terms simply because they were transmitted, and any conflicting clause must be negotiated and accepted in a signed document.
2. Eligibility and authority
The services described on this site are offered to businesses and to persons acting in a professional capacity. They are not offered to consumers for personal, family or household purposes. A venue operator, a retail chain, a hotel group, an arcade owner or a property manager is the kind of client for whom this practice is designed.
By engaging the company, a client confirms that it is at least eighteen years of age and legally able to enter into a contract. The client also confirms that it controls, or is authorised to act for the owner of, the premises where work will be carried out, and that it can grant the access and permissions described in these terms.
Where a venue is managed by one party and owned by another, the client must identify both parties at the survey stage and must confirm in writing which of them is authorised to approve work, to approve variations and to receive invoices.
3. Use of the website
The website at chazhatz.lol is provided for information. A visitor may read the pages, print them for internal reference and share links with colleagues. A visitor may not scrape the site at volume, attempt to interfere with its availability, probe it for vulnerabilities without written permission, or use its content to train a competing commercial service.
The contact form is provided to help a visitor start a conversation. It opens the visitor own email client and does not transmit data to a server operated by CHAZHATZ, LLC. A person should not use the form to send unlawful material, malicious code, unsolicited advertising or personal information about another person without that person consent.
The company may suspend or withdraw access to the site, or any part of it, without notice where it believes that access is being abused or where maintenance is required. The company does not guarantee that the site will be available without interruption, although it aims to keep the static pages online at all times.
4. Scope of services
The company provides six service lines: coin op machine integration, playlist and media systems, venue payment kiosks, lighting scene controllers, cabinet refit engineering and venue systems support. The exact scope for an engagement is set out in a written quotation or statement of work, which lists the deliverables, the assumptions, the exclusions and the acceptance tests.
Anything not listed in the written scope is excluded. This includes, for example, electrical installation beyond a low voltage connection, building work, structural alterations, data cabling runs beyond the agreed length, software development not described in the statement of work and the configuration of third party accounts that the client owns.
Where the company agrees to coordinate a third party trade such as an electrician or a network cabler, it does so as a coordinator and not as the employer of that trade. The third party remains responsible for its own workmanship, its own insurance and its own compliance with licensing rules.
5. Quotations and estimates
A quotation is valid for thirty days from its date unless it states a different period. After that period the company may revise prices to reflect changes in component costs, travel or labour availability.
A quotation is based on the information available at the time it is prepared. If a survey reveals a condition that could not reasonably have been seen beforehand, such as hidden water damage, a non compliant electrical circuit or a cabinet that has been modified by a third party, the company may adjust the quotation and will explain the reason in writing before proceeding.
An estimate is an indication of likely cost and is not a fixed price. Where the company provides an estimate, it will state clearly that the figure is provisional and will seek approval before spending beyond the estimated range.
6. Surveys and site access
A survey is a structured visit in which the company measures the room, traces the data and power paths, photographs the equipment and records how the venue behaves during service. The client must provide safe access to the areas concerned, a responsible person who can answer questions, and any keys or codes needed to reach a service cupboard, a roof void or a back of house rack.
The company will work to the safety rules of the site and will not enter a confined space, a roof area or a live electrical enclosure without the appropriate permit and supervision. Where a site cannot be made safe, the survey will stop and the company will explain what is needed before it can continue.
Survey notes, photographs and the resulting systems map are project records. The client may use them for its own purposes, and the company may retain a copy for the periods described in the Privacy Policy so that a later visit can build on the earlier record.
7. Client obligations
The client agrees to provide accurate information about the venue, the equipment and the people who will be present during the work. The client agrees to obtain any landlord or building consent that is required, to keep valuables and sensitive records away from the work area, and to ensure that the area is reasonably clear before the team arrives.
The client agrees to nominate a single point of contact for approvals and to make that person available during the agreed working windows. Where a decision is required and the nominated person is not available, the company may pause the work and the schedule may move accordingly.
The client is responsible for backing up any data held on equipment that will be opened, replaced or reconfigured. Where the company expects a configuration or a saved state to be lost, it will say so in advance, but the client remains responsible for its own backups and for any licensed media or software held on the device.
8. Fees, invoicing and payment
Fees are stated in the quotation and are exclusive of any applicable sales, use or value added tax unless the quotation says otherwise. Travel, overnight accommodation, parking and freight are charged at cost where they are not included in the quotation, and the company will seek approval before incurring a significant expense.
Unless the quotation states different terms, a project is invoiced in three parts: a deposit on acceptance, an interim payment at the start of on site installation, and a final payment on handover. A support season is invoiced annually in advance. Invoices are payable within fourteen days of the invoice date.
Late payment may attract interest at the rate stated on the invoice, or where no rate is stated, at the maximum rate permitted by applicable law. The company may suspend further work and withhold non essential documentation where an undisputed invoice remains unpaid, after giving written notice and a reasonable opportunity to pay.
If a client disputes an invoice, it should notify the company in writing within ten business days, identifying the amount in dispute and the reason. Undisputed amounts remain payable on time, and the parties will work in good faith to resolve the disputed portion.
9. Variations and change control
A variation is any change to the agreed scope, schedule, equipment list or acceptance tests. Variations are agreed in writing before the additional work begins, using a short variation note that states the change, the cost and the effect on the schedule.
Where a variation is urgent and a written note cannot be prepared before work is needed, the company may proceed with the verbal approval of the nominated contact and will confirm the variation in writing within two business days. The client may withdraw a verbal approval before the confirmation is issued if the work has not yet started.
A variation may affect the handover date. The company will not treat a delay caused by an approved variation as a breach of the schedule, and the parties will agree a revised date at the time the variation is accepted.
10. Scheduling and delays
The company schedules work around the client opening hours wherever possible. Installation windows are agreed in advance, and the company aims to leave the venue in a usable state at the end of every shift, even where cables are temporarily labelled and a cover panel is left accessible for the following day.
If the client needs to move an agreed date, it should give as much notice as possible and no less than five business days for a project visit. A late cancellation that leaves travel booked or a technician idle may be charged at the agreed day rate, and the company will explain the charge before applying it.
If the company needs to move a date, it will give notice as soon as the reason is known and will offer the next available slot. Where a delay is caused by a supplier, the company will provide the supplier name and the expected delivery date rather than a vague assurance.
11. Hardware and third party components
Hardware supplied by the company is covered by the manufacturer warranty and, for parts fabricated by the company, by the warranty stated in the quotation. The company passes on the benefit of a manufacturer warranty where it can, and will help a client make a claim where the process is practical.
Third party software, licences and subscriptions are provided under the terms of the relevant vendor. The client is responsible for maintaining any subscription that it owns beyond the first support season, and the company will state clearly which subscriptions are in the client name and which, if any, are held temporarily by the company during a project.
Where a client supplies its own hardware, the company will test it before integration but does not warrant it. If a client supplied component fails and causes a return visit, the visit is chargeable at the agreed rate unless the failure was caused by the company workmanship.
12. Intellectual property
The website content, the service descriptions, the diagrams and the written materials on this site belong to CHAZHATZ, LLC and are protected by copyright. A visitor may read and quote short passages with attribution, but may not republish substantial parts without written permission.
On a project, the client owns the physical installation, the hardware it has purchased, the data it supplies and the venue records. The company retains ownership of its design methods, templates, harness drawings, code libraries and reusable engineering patterns, and it grants the client a non exclusive licence to use the documents prepared for that client in connection with the installed system.
The client may not resell, publish or use the company drawings to instruct a competing contractor without written agreement. Where the client wishes to transfer a system to another maintainer, the company will provide the as built record and a reasonable handover briefing at the agreed rate.
13. Confidentiality
Each party agrees to keep confidential the information that the other party marks as confidential or that a reasonable person would understand to be confidential, such as pricing, venue operations, network diagrams, staff schedules and security arrangements. Confidential information is used only for the purposes of the engagement.
Confidentiality does not apply to information that is already public, that the receiving party already held without a duty of confidence, that is independently developed, or that must be disclosed by law or by a court order. Where disclosure is required, the receiving party will notify the other party where it is lawful to do so.
The obligation continues for five years after the end of the engagement, and indefinitely for trade secrets. On request, each party will return or destroy confidential material that it no longer needs, except for one archival copy kept by the company for legal and insurance purposes.
14. Warranty and defects
The company warrants that its work will be carried out with reasonable skill and care, in accordance with the agreed scope and the applicable acceptance tests. Parts fabricated by the company are warranted against defective materials and workmanship for two years from handover, unless a different period is stated in the quotation.
If a defect appears within the warranty period, the client should notify the company in writing with a description of the fault and, where possible, photographs and log extracts. The company will investigate remotely where practical and will arrange a visit where the fault cannot be resolved otherwise.
The warranty does not cover damage caused by misuse, accident, water ingress, power surges outside the agreed protection, unauthorised modification, third party work, or normal wear of consumable items such as lamps, receipt paper, filters and coin mech parts. Where a claim is excluded, the company will explain the reason and quote for a repair.
15. Limitation of liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Subject to that, the following limits apply.
The company is not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill, business interruption or any indirect or consequential loss arising from the engagement or from use of the website. The company is not liable for the acts or omissions of a third party, including a supplier, a venue system maintained by another contractor, or an internet or utility provider.
The total liability of the company arising from an engagement, whether in contract, tort, breach of statutory duty or otherwise, is limited to the total fees paid by the client for the specific service giving rise to the claim, or to the amount recoverable under the company professional liability policy, whichever is greater. Where the website is used without a paid engagement, the company liability is limited to one hundred United States dollars.
A claim must be notified in writing within twelve months of the date on which the claimant became aware, or ought reasonably to have become aware, of the circumstances giving rise to it. This limitation does not apply where applicable law forbids it.
16. Indemnity
The client agrees to indemnify CHAZHATZ, LLC against claims, losses and reasonable legal costs arising from content, data or hardware that the client supplies, from instructions that the client gives and that the company follows in good faith, from the client failure to obtain a consent or licence required for the work, or from the client breach of these terms.
The company agrees to indemnify the client against claims that a design or document supplied by the company infringes a third party intellectual property right, provided that the client notifies the company promptly, allows the company to control the defence and does not settle the claim without the company consent.
Where a claim is covered by both parties, each will cooperate in good faith and will share information reasonably required for the defence. Neither party is obliged to admit fault in order to obtain cooperation.
17. Data and regulatory compliance
The client is responsible for the personal information held in its own systems, for publishing appropriate notices to its customers and staff, and for meeting any licensing requirement that applies to its venue. The company supports the client by designing systems that minimise data collection and by documenting the technical measures in place.
Where the company handles personal information on behalf of a client, the parties will sign a data processing arrangement that sets out the instructions, the security measures, the sub processors and the assistance the company will provide with access requests and incident notifications. The Privacy Policy on this site describes the company own processing in more detail.
The client is responsible for the lawful use of any media played through a playlist or media system, including the licences required for public performance. The company configures the system but does not grant a licence and is not responsible for a client decision about which tracks may be played in which venue.
18. Suspension and termination
Either party may terminate an engagement by written notice if the other party commits a material breach and fails to remedy it within fifteen business days of a written request to do so. Either party may terminate immediately if the other becomes insolvent, enters administration or ceases to trade.
The client may terminate a project for convenience by giving fifteen business days written notice. In that case the client pays for work performed, for materials ordered and for commitments that cannot reasonably be cancelled, and the company returns any unused deposit after those amounts are settled.
On termination, the company will provide the documents needed to understand the work performed to date, subject to payment of undisputed invoices. Clauses on confidentiality, intellectual property, liability and governing law survive the end of the agreement.
19. Force majeure
Neither party is liable for a delay or failure to perform caused by an event beyond its reasonable control, such as a natural disaster, an epidemic, a prolonged utility failure, a transport disruption, a cyber attack on shared infrastructure or an act of a public authority.
The affected party must notify the other promptly, describe the effect on the engagement and take reasonable steps to reduce the impact. If the event continues for more than sixty days, either party may terminate the affected work by written notice, and the client pays for work performed and commitments properly incurred up to that point.
A force majeure event does not excuse a failure to pay an amount that was already due before the event began.
20. Governing law and disputes
These terms are governed by the laws of the United States (US) and of the state in which CHAZHATZ, LLC is established, without regard to conflict of law rules. The parties will first attempt to resolve any dispute through good faith discussion between senior representatives.
If a dispute is not resolved within thirty days of a written notice describing it, either party may refer the matter to mediation or, where mediation fails, to the courts of competent jurisdiction. Nothing in this clause prevents a party from seeking urgent injunctive relief where a breach of confidentiality or intellectual property rights is threatened.
The parties agree that the engagement does not create a partnership, joint venture, agency or employment relationship. The company is an independent contractor, and its personnel remain under its own direction and control.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced by one that achieves the intended commercial result as closely as the law allows.
21. Changes to these terms
The company may update these terms to reflect a change in the services, the law or the way the practice operates. The effective date at the top of this page shows the current version. A material change applies to an engagement only where the client agrees in writing or where the change is required by law.
A client with an active support season will receive notice of a material change by email at least thirty days before it takes effect, unless a shorter period is required to comply with a legal obligation. A person who continues to use the website after a change takes effect is treated as having read the updated terms.
